1. This Term of business is entered between Placement Safari having its office at 2 nd Floor, Shroti Business Center, Opp Midland Hospital, Mahanagar, Lucknow 226006 for the purposes of soliciting and supporting in hiring appropriate talent for the Client organization
2. In these terms and conditions: - “The Candidate” shall mean the person or limited company (including any officer, employee or agent thereof) “Introduced” by Placement Safari to the client. The “Client” means the employer client (including any officer, employee or agent thereof) to whom Placement Safari will “Introduce” candidates. The “Package” refers to the candidate’s first year’s gross compensation and benefits.
a) “Introduction” or “introduce(d)” shall mean the presentation of a candidate to the Client, irrespective of
(i) whether the Client knew of that candidate prior to the presentation of the candidate, or
(ii) whether the Client receives information about the candidate from any other party or source subsequent to the Placement Safari’s presentation of the candidate
b) “Presentation” or “presented” shall mean the submission of details of a candidate, including any CV, whether in writing or orally and/or the arrangement of an interview (including any telephone interview) between the candidate and the Client.
c) “Engagement” or “engage(s)” shall mean the appointment of the candidate, either in a personal or corporate capacity, by a Client whether under a contract of service, a contract for services within a period of six months from the date of a final interview, or from the date of presentation of the candidate where no interview between the candidate and the Client takes place
3. These terms and conditions are deemed accepted / acceptance is evidenced by the Client signing and returning a copy of these Terms to Placement Safari, or by the Client expressly confirming receipt of these Terms to Placement Safari, or following Placement safari giving or sending a copy of these Terms to the Client.
4. No variations to these terms and conditions shall be binding unless approved in writing by Placement Safari and the client.
5. These terms and conditions and all agreements with clients shall be governed by and construed in all respects in accordance with Indian Law and the client agrees to submit to the exclusive jurisdiction of the courts of Lucknow, India.
6. No charge is made to the candidate.
7. Fees: Our Fees are based on the candidate’s guaranteed first year’s gross compensation and are due when a candidate introduced by Placement Safari is engaged in whatever capacity or where a candidate makes an agreement for the provision of services. a) 10 % of Annual CTC up to 15 Lacs PA b) 12.5 % of Annual CTC up to 30 Lacs PA c) 15% of Annual CTC for CTC between 30 Lacs PA to 40 Lacs PA d) Case to case basis for CTC above 40 Lacs PA For the purposes of calculating fees: gross compensation includes all components of the CTC. This will include joining / sign on bonus, if any, paid in the first year
8. Where an exclusivity arrangement is agreed by the Client for any period (“the exclusivity period”) then for the duration of the exclusivity period the Client shall not use any other recruitment business to supply or introduce candidates.
9. Replacement Guarantee: Where a candidate commences work and the appointment is terminated within 60 Days of the start date, for whatever reason (except in cases of redundancy or restructure) Placement Safari agrees to provide a replacement candidate
a) Placement Safari will do so within 30 working days after the Client sends a written notice of the termination of the candidate and the reasons for such termination
b) Replacement guarantee will only apply if fees are paid within the agreed payment period. Any late payments will render the replacement guarantee null and void.
10. Payment Terms: Unless otherwise stated, invoices for professional fees are due for payment within 21 days of the invoice date or the date of joining, whichever is later. Placement Safari reserves the right to charge interest at 2% per month on ALL overdue accounts.
11. Service tax (where appropriate) is charged at the applicable rate.
12. Liability: Placement Safari shall not be liable to the client for any loss, liability, damage, costs, claims or expenses incurred by the client arising from or connected with the engagement of any candidate howsoever arising. Placement Safari shall not be liable or be deemed to be in breach of any contract with the client by reason of any delay in performing, or any failure to perform any of its obligations in relation to the services to be provided, if such delay or failure was due to any cause beyond Placement Safari reasonable control. Placement Safari shall not be liable for any indirect or consequential loss or for any loss to the client arising from third party claims
13. Introduction Fee: The Client shall also be responsible for paying to Placement Safari an introduction fee if, within a period of twelve months from the date of a final interview, or from the date of presentation where no such interview is held, the Client employs or engages the candidate introduced by Placement Safari.
14. These terms and conditions are valid for a period of one year from the date of signing of the contract.
